3. Client Responsibilities
- The client must provide accurate project requirements, access credentials, and necessary information in a timely manner.
- The client is responsible for ensuring that all materials (data, content, logos, etc.) provided to Aman Sharma Spark do not infringe any third-party rights.
4. Payment Terms
- A mutually agreed project fee or retainer fee must be paid as per the payment schedule discussed.
- Payment is to be made in INR or USD (or as agreed), via bank transfer, UPI, or PayPal.
- Delayed payments may result in project delays or suspension of services.
5. Confidentiality
All project details, client data, source codes, and business information shared with Aman Sharma Spark will be treated as strictly confidential and will not be disclosed to third parties without prior consent.
6. Intellectual Property
- All intellectual property rights of the developed software, code, databases, or digital assets shall remain with the client upon full payment.
- Aman Sharma Spark reserves the right to showcase non-sensitive, completed projects in the portfolio for marketing purposes unless otherwise agreed.
7. Project Timeline
Project timelines are estimated based on the initial scope provided. Any change in scope, additional requirements, or delays in client feedback may affect the overall delivery schedule.
8. Limitation of Liability
Aman Sharma Spark will not be liable for:
- Any indirect, incidental, or consequential damages.
- Any loss of data, profits, or business interruption caused by third-party services, hosting providers, or external factors beyond our control.
9. Termination
- Either party may terminate the agreement by providing written notice.
- In case of termination, the client is liable to pay for any work completed up to the termination date.
10. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of India, and any disputes will be subject to the exclusive jurisdiction of the courts of [Your City/State].
